I – Introdução, definições e âmbito

1. Definitions and Prevalence

1.1. Unless otherwise resulting from the text of these Terms and Conditions, the terms and expressions used herein, listed alphabetically below, have the following meaning:

  • a) “Review”: rating (e.g., 1 to 5 stars) and/or comment assigned by one User to another User after an Event, under the Platform's terms.
  • b) “Performance Fee (Cachet)”: amount agreed between Client and Musician for the provision of Musical Services, before the deduction of applicable Commissions.
  • c) “Chat”: the Platform's internal messaging system, used for negotiation, communication, and support between Users.
  • d) “Client”: User who hires Musical Services and publishes opportunities, including organizers and corporate entities.
  • e) “Commission”: percentage deducted by KORDIA from the amount to be paid to the Musician, as consideration for technological intermediation and associated services.
  • f) “Consumer”: a natural person acting for purposes that do not fall within the scope of their commercial, industrial, artisanal, or professional activity.
  • g) “Account”: User registration on the Platform, associated with authentication credentials and a Client or Musician profile.
  • h) “Content”: any text, image, video, audio, document, message, review, or other material uploaded, published, transmitted, or made available on the Platform by Users or by KORDIA.
  • i) “Course”: educational content made available at KORDIA Academy, consisting of modules and lessons, to which access is granted to the User after acquisition.
  • j) “Dispute”: formal communication presented by a Client and/or a Musician regarding a Booking, including claims for non-performance, no-show, or material non-compliance.
  • k) “Escrow”: mechanism for the temporary retention of funds through a Payment Service Provider, keeping the values paid by the Client under custody until verification of the release conditions.
  • l) “Event”: activity or occasion for which the Client intends to hire a Musician (e.g., weddings, parties, corporate events, or studio sessions).
  • m) “Instructor”: User, typically a Musician, who creates and makes Courses available at KORDIA Academy.
  • n) “Job Board”: Platform functionality that allows the Client to publish opportunities and the Musician to present Proposals.
  • o) “KORDIA Academy”: section of the Platform dedicated to the provision and acquisition of online video courses.
  • p) “Musician”: User who provides Musical Services, including soloists, bands, technicians, and studios, who may also act as an Instructor.
  • q) “Payout”: release and transfer of funds held in Escrow to the Musician through the Payment Service Provider used by the Platform.
  • r) “Subscription Plan”: paid plan, monthly or annual, that confers additional features, changes usage limits, and may reduce Service Fees or Commissions.
  • s) “Platform”: the KORDIA webapp, including any functionalities, dashboards, subdomains, APIs, and related services, operated by KORDIA Portugal, Lda.
  • t) “Payment Service Provider”: third-party entity providing payment and/or account services necessary for processing payments, Escrow retention, and Payouts (currently, Stripe).
  • u) “Professional”: a natural or legal person acting in the exercise of their commercial, industrial, artisanal, or professional activity.
  • v) “Proposal”: conditions presented by a Musician or agreed between Client and Musician through the Platform, including price, duration, and requirements.
  • w) “Booking”: electronic confirmation made through the Platform that formalizes the acceptance of a Proposal, constituting an exclusive agreement between Client and Musician.
  • x) “GDPR”: Regulation (EU) 2016/679, of 27 April.
  • y) “Balance”: remaining amount of the Performance Fee, by default corresponding to 70%, to be settled up to 24 hours before the Event.
  • z) “Musical Services”: provisions of an artistic, technical, or training nature in the field of music, provided by Musicians through the Platform.
  • aa) “Deposit”: initial payment, by default corresponding to 30% of the Performance Fee, intended to block the Event date.
  • ab) “Service Fee”: amount charged by KORDIA to the Client as consideration for the use of the Platform, processing, and support.
  • ac) “User”: any natural or legal person who accesses, navigates, creates an Account, or uses the Platform.

1.2. These Terms and Conditions are complemented by other KORDIA legal documents, including the Privacy and Cookies Policy and Community Rules.

1.3. In case of contradiction between these Terms and Conditions and specific rules for a particular feature, the specific rules shall prevail.

1.4. KORDIA acts as a technological intermediary (Marketplace/SaaS). The provision of Musical Services is performed by the Musician, and KORDIA is not a party to the Booking.

1.5. Express acceptance of these Terms and Conditions is a necessary condition for creating an Account and using the Platform's features.

1.6. These Terms prevail over any individual communications maintained with KORDIA by email or other means.

1.7. References to the singular include the plural and vice-versa; references to one gender include all genders.

2. Scope of Application

2.1. These Terms and Conditions apply to all Users regardless of the electronic device used to access the Platform.

2.2. If the device does not allow proper viewing of these Terms, the User must contact KORDIA to request the document in writing.

2.3. When the User acts as a Professional, certain consumer protection standards may not apply under the law.

II – Registo, Conta e credenciais

3. Registration and Eligibility Requirements

3.1. To create an Account, the User must provide true, complete, and updated information.

3.2. KORDIA may refuse, suspend, or cancel Accounts in case of fraud, false information, or violation of these Terms.

3.3. The User is responsible for ensuring that the use of the Platform is legal in their jurisdiction.

4. Account Creation and Management

4.1. The Account is personal or assigned to an entity, and the User is responsible for all acts performed through the Account.

4.2. Access credentials are confidential. Unauthorized access must be reported immediately to KORDIA.

4.3. KORDIA may adopt security measures, including temporary blocks after repeated incorrect login attempts.

5. Profiles and Public/Private Information

5.1. The Musician's Public Profile (photos, bio, base price) is accessible to visitors.

5.2. Private contact details (e.g., exact address) are only shared when necessary for the execution of a Booking or for legal/tax purposes.

III – Privacidade e Dados Pessoais

6. Privacy and Data Protection

6.1. KORDIA complies with GDPR and applicable national data protection standards.

6.2. The KORDIA Privacy and Cookies Policy is integrated into this instrument by reference.

6.3. The User must carefully read the Privacy and Cookies Policy before using the Platform.

IV – Utilização e Conduta

7. General Rules of Use

7.1. The User commits to using the Platform in a lawful, responsible, and compliant manner.

7.2. Use for illegal, fraudulent, defamatory, or abusive purposes is strictly prohibited.

7.3. KORDIA may remove Content or restrict features when there are signs of violation of the law or these Terms.

7.4. KORDIA does not control third-party services integrated into the Platform and is not responsible for their content.

8. Chat, Negotiation, and Evidence

8.1. The internal Chat is provided for negotiation and support. Messages may be stored as evidence of the communication history.

8.2. The final agreement on price and conditions constitutes the electronic record of acceptance between Client and Musician.

9. Job Board

9.1. The Job Board allows the Client to publish opportunities and the Musician to submit Proposals.

9.2. The Client is responsible for ensuring the accuracy and privacy of the Event information published.

10. Reviews and Reputation

10.1. After the Event, Users may submit Reviews. Reviews must be truthful, proportionate, and non-defamatory.

10.2. KORDIA may moderate, remove, or hide Reviews that violate these Terms or applicable law.

V – Propostas, Reservas e Execução

11. Proposals and Bookings

11.1. The Musician presents Proposals with specific conditions (price, duration, requirements).

11.2. A Booking occurs when the Client accepts a Proposal. KORDIA will send a Confirmation to both parties.

11.3. The Client must carefully review all details before confirming a Booking.

11.4. The Musician must indicate technical, logistical, or operational requirements (space, electricity, setup time) before the Booking.

12. Obligations of the Client and the Musician

12.1. The Client commits to providing essential Event information and paying amounts due via Escrow.

12.2. The Musician commits to appearing and providing services as agreed, with diligence and professionalism.

12.3. Any authorizations, licenses, or rights for the Event are the responsibility of the Client and/or the Musician as applicable.

12.4. The Client must ensure the local venue is safe and suitable for the Musical Services provision.

12.5. The Musician must ensure that all band members or technicians comply with these rules.

12.6. Audio or video recordings for commercial purposes require prior express agreement between the parties.

VI – Pagamentos, Taxas, Escrow e Payouts

13. Fees and Commissions

13.1. KORDIA charges a Service Fee to the Client and a Commission to the Musician, deducted from the amount received.

13.2. Applicable Fees and Commissions are presented at checkout and/or in the Platform interface.

13.3. Unless expressly stated otherwise, values are in euros and include VAT at the legal rate in Portugal.

14. Escrow and Payment Schedule

14.1. Funds paid by the Client are held under operational custody by the PSP until release conditions are met.

14.2. By default, the Client pays a Deposit (30% of the Performance Fee) to block the date.

14.3. By default, the Balance (70%) must be settled up to 24 hours before the Event.

14.4. The Payout to the Musician is released 24 to 48 hours after the Event, in the absence of a Dispute.

15. Disputes and Retentions

15.1. If a Dispute is reported within the applicable period (24h), KORDIA may suspend or delay the Payout.

15.2. KORDIA may propose alternative solutions as an informal mediator (non-arbitral).

15.3. If no agreement is reached, parties may resort to the competent judicial means.

VII a IX – Subscrições e Academy

16. Subscription Plans

KORDIA provides monthly or annual Subscription Plans with different benefits. Subscriptions renew automatically until cancelled. Price or limit changes will be communicated in advance.

17. Cancellations and Refunds

Cancellation rules are set out in Annex II. The Service Fee is non-refundable for Client-initiated cancellations. In force majeure cases, KORDIA may mediate exceptional solutions.

18. KORDIA Academy

Access to online courses is granted after payment. 'Lifetime access' means access as long as the Platform is operational. The User holds a limited license for personal, non-commercial viewing only.

X a XII – Responsabilidade e Proteção

19. Intellectual Property

All rights to the Platform, software, and trademarks belong to KORDIA. User content remains the property of the owner, but KORDIA is granted a non-exclusive license to host and distribute as necessary for operation.

20. Limitation of Liability

KORDIA is not a booking agency; it is not responsible for the execution of Musical Services. We are not liable for indirect damages, lost profits, or service interruptions outside our control.

21. Suspension and Termination

KORDIA may suspend or cancel Accounts in case of violation of these Terms, fraud risk, or legal requirement, without prejudice to necessary Escrow retentions.

XIII a XV – Resolução e Foro

22. Support Channels

Users can contact support via the Platform or at suporte@kordia.pt. We do not tolerate abusive behavior towards our employees or other Users.

23. Complaints and Dispute Resolution

Consumers may submit complaints via the Electronic Complaints Book (livroreclamacoes.pt) or resort to Alternative Dispute Resolution (ADR) entities.

24 a 28. Final Provisions

These Terms are governed by Portuguese law. The competent court is the district of Pombal. The primary language is Portuguese; in case of divergence, the Portuguese version prevails.

Subscription Plans

A. Client Plans (Organizers) A.1. Free: Up to 2 concurrent events; contact up to 10 musicians/month; 10% Service Fee. A.2. Essential (€7.99/mo or €79.90/yr): Up to 6 events; 25 contacts; Reduced 8% Service Fee. A.3. Professional (€14.99/mo or €149.90/yr): Unlimited events; Unlimited contacts; 5% Service Fee; Direct support. B. Musician Plans (Artists) B.1. Free: 3 photos and 1 video; 7.5% Commission; No verification badge. B.2. Essential (€7.99/mo or €79.90/yr): 5 photos and 3 videos; Reduced 5% Commission; Verified artist badge. B.3. Professional (€14.99/mo or €149.90/yr): Unlimited media gallery; Top videos; Minimum 3% Commission; PRO artist badge.

Cancellation and Refund Policy

1. Golden Rule: The Service Fee is non-refundable for Client-initiated cancellations. 2. Musician-Initiated: 100% refund to the Client (including Service Fee). 3. Client-Initiated (Timeline): - More than 30 days: 100% refund of the paid Performance Fee. - Between 29 and 7 days: Deposit (30%) retention for the Musician; Refund of any paid Balance. - Less than 7 days: No refund. The total Performance Fee is due to the Musician.

Escrow and Payment Release

1. Operation: The amount is held in Stripe until the Event date. 2. Release: Automatic between 24 and 48 hours after the Event if no Dispute exists. 3. Dispute: Must be opened within 24 hours after the Event. Funds are frozen until mediation. 4. Resolutions: Full payment, partial refund, or full refund (depending on evidence).
